Terms and Conditions of Campus Quests LLC

1. Acceptance of Terms

a. Contractual Relationship Establishment: By accessing, registering, downloading, or otherwise utilizing the services, platforms, content, or functionalities (collectively, “Services”) provided by Campus Quests LLC (“Campus Quests,” “Company,” “we,” “us,” “our”), including but not limited to our website, mobile applications, and other digital interfaces, you (“User,” “you,” “your,”) hereby affirmatively acknowledge, assent to, and enter into these legally binding Terms and Conditions (“Terms,” “Agreement”). This Agreement constitutes a legally enforceable contract between you and Campus Quests LLC, subject to the provisions herein delineated, encompassing all aspects of your interaction with and utilization of the Services.

b. Capacity and Authority to Contract: You represent and warrant that you possess the legal capacity, authority, and right to enter into this Agreement, are of majority age as per the jurisdiction of your domicile, or possess valid parental or guardian consent to bind yourself to these Terms. Furthermore, you affirm that you are not precluded from assenting to this Agreement under any statutory, contractual, or other legal prohibitions.

c. Comprehension and Conformance to Terms: You acknowledge that you have read, understood, and agreed to be bound by the entirety of these Terms, including any and all ancillary documents, policies, and guidelines incorporated herein by reference, which form an inseparable and integral part of the Agreement. Your use of the Services constitutes an unequivocal acceptance of, and agreement to, all such Terms as may be amended, supplemented, or modified from time to time.

d. Electronic Acceptance Sufficiency: In accordance with the Uniform Electronic Transactions Act, Electronic Signatures in Global and National Commerce Act, and other applicable statutes, you agree that your affirmative act of accessing, registering for, or using our Services constitutes your electronic signature to this Agreement, thereby establishing your consent and intent to be bound by the Terms herein. This electronic acceptance is deemed sufficient and equivalent to a handwritten signature for the purposes of binding you to these Terms.

e. Conditional Use Based on Acceptance: Your access to and use of the Services are expressly conditioned upon your assent to all the Terms contained herein. Should you disagree or take exception to any part of these Terms, you are instructed to immediately cease all use of the Services and notify Campus Quests LLC of your termination of this Agreement in writing.

f. Capacity to Amend Agreement: Campus Quests LLC reserves the unilateral right to amend, modify, supplement, or rescind any or all of these Terms at any time, without prior notice, and at its sole discretion. Such modifications shall be effective immediately upon posting the revised Terms to the Company’s platforms or notifying you by other means. Your continued use of the Services following any such changes constitutes your de facto acceptance of such new Terms. It is your responsibility to regularly review these Terms and stay informed of any modifications.

g. Incorporation of Additional Policies: By accepting these Terms, you also acknowledge and agree to be bound by Campus Quests LLC’s Privacy Policy, Refund Policy, and any other ancillary policies or terms as may be applicable to certain features of the Services, which are incorporated herein by this reference.


 

2. Services Description

a. Scope and Nature of Services: Campus Quests LLC (hereinafter referred to as “the Company,” “we,” “us,” or “our”) operates as a facilitative intermediary providing a digital platform (“Platform”) designed to enable registered users (“Users”), comprising college students (“Student Helpers”) and community members (“Clients”), to connect for the purpose of engaging in mutually beneficial, transitory service-oriented transactions. The Platform facilitates a diverse array of services, which may include, but are not limited to, academic tutoring, manual labor, domestic tasks, and other forms of temporary assistance (“Services”).

b. Service Facilitation Role: The Company’s role is strictly limited to providing a digital marketplace for Users to connect and negotiate the terms of service engagements. The Company is neither the provider nor the recipient of the Services transacted through the Platform. As such, the Company expressly disclaims any employer-employee, agency, partnership, joint venture, or similar relationship with Users utilizing the Platform.

c. User-Generated Content and Representations: The Platform permits Users to generate, post, and exchange content, including but not limited to service descriptions, qualifications, availability, and other relevant information (“User Content”). The Company does not review, verify, or guarantee the accuracy, reliability, or appropriateness of User Content. Users are solely responsible for the accuracy and legality of their User Content and the services they offer or procure through the Platform.

d. No Endorsement or Guarantee of Services: The Company does not endorse, certify, or guarantee the quality, safety, compliance, or legality of the services offered or rendered by Users through the Platform. The Company disclaims all liability arising from or related to any User’s performance or non-performance of services.

e. Platform Accessibility and Modification: The Company reserves the right, at its sole discretion, to modify, suspend, or discontinue, temporarily or permanently, the Platform or any service to which it connects, with or without notice and without liability to Users or any third party.

f. Eligibility Criteria for Users: Access to and use of the Platform are subject to compliance with eligibility criteria as delineated by the Company. Student Helpers must be actively enrolled in an accredited college or university. Clients must be individuals of legal majority age as per the jurisdiction in which they reside. The Company reserves the right to deny or revoke access to the Platform based on non-compliance with these criteria.

g. Independent User Agreements: Users are solely responsible for negotiating the terms, conditions, and remunerations of their service engagements. Any agreement or contract for services formed between Users through the Platform is exclusively between the participating Users. The Company is not a party to such agreements and disclaims all liability arising from or related to such agreements.


 

3. User Eligibility

a. Legal Capacity: The Services provided by Campus Quests LLC (hereinafter referred to as “the Company,” “we,” “us,” or “our”) are intended solely for individuals who have attained the age of legal majority and are capable of forming legally binding contracts under applicable law. By accessing or using our Services, you represent and warrant that you are of legal age to enter into a binding contract and are not otherwise barred from receiving services under the laws of the United States or other applicable jurisdiction.

b. Academic Enrollment Requirements for Student Helpers: In order to qualify as a “Student Helper” on our Platform, individuals must affirm and provide evidence, upon request, of current enrollment in an accredited college or university. The Company reserves the right to verify such enrollment status and to deny or terminate access to the Platform for any individual whose enrollment status cannot be satisfactorily verified.

c. Client Eligibility: Individuals seeking to utilize the services of Student Helpers through the Company’s Platform (“Clients”) must affirm their status as legal adults, defined as being eighteen (18) years of age or older in most jurisdictions. Clients must possess the legal capacity to enter into binding contracts and must not be under any legal disability or restriction which would prevent them from entering into a legally enforceable agreement with Student Helpers.

d. Account Registration and Integrity: Users are required to register and create an account to access and use the Services. You agree to provide truthful, accurate, current, and complete information during the registration process and to update such information to maintain its accuracy. The Company reserves the right to suspend or terminate your account and your access to the Services if any information provided during the registration process or thereafter is inaccurate, not current, or incomplete.

e. Prohibited Users: The Company reserves the right to refuse service, terminate accounts, or cancel orders at its sole discretion, including, without limitation, if the Company believes that user conduct violates applicable law, is harmful to the interests of the Company or its affiliates, or is contrary to the intended purpose of the Services.

f. Compliance with Terms and Policies: Continued eligibility to access and use the Services is contingent upon adherence to these Terms, as well as any other policies or guidelines posted by the Company. Non-compliance with any of these Terms and policies may result in immediate termination of user access and use of the Services.

g. Jurisdictional Limitations: The Services are intended for use primarily within the United States. Users accessing the Services from other jurisdictions do so at their own volition and are responsible for compliance with local law.


 

4. User Responsibilities

a. Accurate Representation: Users, including both Student Helpers and Clients, are obligated to provide true, accurate, current, and complete information about themselves as prompted by the Service's registration form and maintain and promptly update their registration data to keep it true, accurate, current, and complete. Users represent and warrant that all information provided to the Company, both during the initial registration and in any subsequent interactions or communications, is accurate, complete, and not misleading.

b. Professional Conduct: Student Helpers are required to conduct themselves in a professional manner, adhering to the highest standards of integrity, respect, and professionalism in all interactions with Clients, both on and off the Platform. This includes, but is not limited to, punctuality, reliability, and adherence to agreed-upon job terms and conditions.

 

c. Service Obligations for Clients: Clients are responsible for providing clear, comprehensive, and lawful descriptions of the services they require. Clients must treat Student Helpers with dignity, respect, and professionalism, and shall not engage in any form of abusive, harassing, discriminatory, or otherwise unprofessional behavior.

d. Compliance with Laws: Users shall comply with all applicable local, state, and federal laws, regulations, and ordinances in connection with their use of the Services, including but not limited to those pertaining to labor and employment, data privacy, and online conduct and transactions.

e. Responsibility for Content: Users are solely responsible for the content they post, submit, publish, display, or transmit to other users or through the Services. Users agree not to post, submit, publish, display, or transmit any content that is false, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

f. Intellectual Property Compliance: Users agree not to upload, distribute, or otherwise publish through the Services any content that is confidential, proprietary, infringing of others' intellectual property rights, or in violation of a duty of confidentiality.

g. Limitation of Service Use: Users agree not to use the Services for any purpose that is unlawful or prohibited by these Terms, nor to solicit the performance of any illegal activity or other activity which infringes the rights of the Company or others. This includes any attempts to undermine the integrity of the Company’s systems or Platform.

h. Indemnification of the Company: Users agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, agents, employees, partners, and licensors from any claims, demands, losses, damages, costs, liabilities, and expenses, including attorneys' fees, due to or arising out of User Content, use of the Services, breach of these Terms, or violation of any rights of another.

i. Reporting Obligations: Users must promptly report to the Company any violations of these Terms by others, of which they become aware.

j. Modification of Services: Users acknowledge that the Company reserves the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. Users agree that the Company shall not be liable to them or to any third party for any modification, suspension, or discontinuance of the Services.

 

5. Payment Terms

a. Financial Transactions and Obligations: Users of the Campus Quests LLC platform, encompassing both Student Helpers and Clients, agree to adhere to the specified financial arrangements as outlined and agreed upon within the Platform for each service engagement. The Company facilitates these financial transactions as a convenience to Users and is not the recipient or provider of these funds.

b. Payment Process and Procedures: Clients are responsible for submitting payments in accordance with the agreed-upon terms between the Client and the Student Helper. The Company may provide a payment processing solution through a third-party service provider. Users acknowledge that they are subject to the terms and conditions of the third-party payment processor.

 

c. Rates and Invoicing: The rates for services provided by Student Helpers are to be explicitly agreed upon between the Client and the Student Helper prior to the commencement of the service. The Company may provide a framework or guideline for standard rates, but ultimate responsibility for rate agreement lies solely between the Client and the Student Helper. Invoices or payment requests, as facilitated by the Platform, shall be timely submitted by Student Helpers and promptly addressed by Clients.

d. Dispute Resolution for Payments: In the event of a dispute relating to payment for services rendered, the parties involved – the Client and the Student Helper – are responsible for resolving such disputes amongst themselves. The Company may, at its discretion, provide assistance in resolving payment disputes but is not obligated to intervene in such disputes.

e. Refunds and Cancellations: Refund and cancellation policies are outlined separately in these Terms and Conditions. Both Clients and Student Helpers agree to adhere to these policies, understanding that certain conditions must be met for the processing of refunds.

f. Responsibility for Payment of Services: Clients are solely responsible for the payment of services rendered by Student Helpers. The Company is not liable for the failure of a Client to pay for services nor for the Student Helper's failure to provide agreed-upon services.

g. Compliance with Tax Laws: Users are solely responsible for determining any tax liabilities incurred from the use of the Platform’s services and agree to comply with all applicable tax laws in connection with their use of the Services. The Company is not responsible for withholding, collecting, reporting, or remitting any sales, use, value-added, or other tax arising from any User’s use of the Platform.

h. Modifications to Payment Terms: The Company reserves the right to modify the payment terms and guidelines at any time. Such modifications will be effective immediately upon being posted on the Platform or otherwise communicated to Users.


 

6. Cancellation and Refund Policy

a. Commitment to Satisfaction: Campus Quests LLC (the “Company”) acknowledges the dynamic nature of service engagements and is committed to accommodating the evolving needs of its users. We pledge to provide a fair and flexible refund policy, prioritizing user satisfaction and transparency in all transactions.

b. Initiation of Refund Request: To request a refund, Users must contact the Company directly via the designated phone number (303-909-8329) or text message. The request must include the User's name, service details, and reason for the refund. The Company shall acknowledge receipt of such requests and guide the User through the refund process.

c. Eligibility for Refund:

Job Placement Issues: In instances where a Student Helper cannot be allocated to a job by the day preceding the job’s commencement, the Client shall be eligible for an automatic full refund of any pre-paid fees.

Quality of Service: If the service provided does not meet the agreed-upon standards or specifications, the Client is entitled to request a refund. The extent of the refund, whether partial or full, will be determined based on an assessment of the specific circumstances of the service engagement.

 

d. Refund Process:

Evaluation of Request: Upon receipt of a refund request, the Company will conduct an evaluation of the claim, which may involve consultation with both the Client and the Student Helper, review of communication records, and assessment of any provided evidence.

Determination of Refund Amount: The refund amount, whether partial or full, will be determined based on the Company’s assessment of the service quality, the extent to which the service was provided, and the specific terms of the service agreement between the Client and the Student Helper.

Processing of Refund: Approved refunds will be processed within a reasonable timeframe, not to exceed thirty (30) days from the approval date. Refunds will be issued to the original payment method used for the transaction unless otherwise agreed upon.

e. Communication and Transparency: The Company is committed to clear and transparent communication throughout the refund process. All policies and procedures will be clearly stated without hidden clauses or surprises.

f. Customer Support: The Company’s dedicated support team will be available to assist Users with their refund requests and address any related inquiries or concerns.

g. Timeliness of Refund Processing: The Company ensures a prompt and efficient refund process. Users will be kept informed of the status of their refund requests.

h. User Obligations: Users requesting refunds are required to cooperate with the Company’s inquiries and provide any necessary information or documentation to facilitate the processing of the refund.

i. Modifications to the Refund Policy: The Company reserves the right to modify this Cancellation and Refund Policy at any time. Such modifications will be effective immediately upon posting on the Company’s website or communication to the Users.


 

7. Intellectual Property Rights

a. Ownership of Intellectual Property: All content, materials, features, and functionality (including but not limited to information, software, text, displays, images, video, audio, and design, collectively, “Content”) on Campus Quests LLC’s platforms, including its website, mobile applications, and related services, are the exclusive property of Campus Quests LLC or its licensors. This includes, but is not limited to, all trademarks, service marks, trade names, trade dress, patents, copyrights, and other intellectual property rights therein. Unauthorized reproduction, modification, distribution, transmission, republication, display, or performance of such Content is strictly prohibited.

b. Use of Trademarks: The trademarks, logos, and service marks displayed on the Company’s platforms (“Marks”) are registered and unregistered Marks of Campus Quests LLC or third parties that have authorized their use. Nothing contained on the Company’s platforms should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Mark without the express written permission of Campus Quests LLC or the respective third-party owner.

c. User-Generated Content: Users may upload, submit, or otherwise make available text, images, audio, video, or other content through the Company’s platforms (“User Content”). By doing so, Users grant Campus Quests LLC a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media. Users represent and warrant that they own or otherwise control all rights to the User Content and that the use of the User Content does not violate these Terms and will not cause injury to any person or entity.

d. Protection of Intellectual Property: Campus Quests LLC respects the intellectual property of others and asks its Users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement or are aware of any infringing material on the Company’s platforms, please notify the Company in accordance with the procedure set out in the Company’s copyright infringement policy.

e. Infringement Remedies: Unauthorized use of the Content may violate copyright, trademark, patent, and other laws. Users agree that Campus Quests LLC may, in its sole discretion, terminate or suspend their access to all or part of the Company’s platforms for any reason, including, without limitation, breach of these Terms or infringement or suspected infringement of third-party intellectual property rights.

f. Indemnification for Infringement Claims: Users agree to indemnify, defend, and hold harmless Campus Quests LLC, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the Company’s platforms from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to their account (including negligent or wrongful conduct) by them or any other person accessing the Company’s platforms using their account.


 

8. Disclaimers and Limitation of Liability

a. Service "As Is" and "As Available": Campus Quests LLC provides its services on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of our services or the information, content, materials, or products included on our platform. To the fullest extent permissible by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

b. Accuracy of Information: While Campus Quests LLC strives to ensure that the information on our platform is accurate, we cannot guarantee that service descriptions, photographs, pricing, or other content on the platform is accurate, complete, reliable, current, or error-free. Any reliance on the material on our platform is at your own risk.

c. Third-Party Services: Our platform may include materials from third-parties, including users, advertisers, and affiliates. Campus Quests LLC is not responsible for examining or evaluating the content or accuracy of third-party materials and does not warrant or endorse any third-party materials, products, or services.

d. Limitation of Liability: In no event shall Campus Quests LLC, nor its directors, employees, agents, affiliates, partners, or suppliers, be liable for any indirect, incidental, punitive, special, or consequential damages arising from your use of our services or for any other claim related in any way to your use of our services, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of our services or any content or product posted, transmitted, or otherwise made available via our services, even if advised of their possibility.

e. Liability Cap: The total liability of Campus Quests LLC for any claims under these Terms, including for any implied warranties, is limited to the amount you paid us to use the service (or, if we choose, to supplying you the services again).

f. Colorado Law: The laws of the State of Colorado govern this disclaimer of warranty and limitations of liability without giving effect to any principles of conflicts of laws. Users agree that any action at law or in equity arising out of or relating to these terms shall be filed only in the state or federal courts located in Colorado, and users hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

g. Indemnification: You agree to indemnify and hold harmless Campus Quests LLC and its affiliates, officers, agents, employees, partners, and licensors from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit, or otherwise make available through our services, your use of our services, your connection to our services, your violation of these Terms, or your violation of any rights of another.


 

9. Dispute Resolution

Any disputes arising from the use of Campus Quests services will initially be addressed through our internal resolution process. If unresolved, disputes may be subjected to binding arbitration, as detailed in this section.

 

10. Modification of Terms

Campus Quests reserves the right to modify these Terms at any time. Continued use of our services after such changes constitutes acceptance of the new Terms.

12. Governing Law

a. Applicability of Colorado Law: The Terms and Conditions of Campus Quests LLC, including but not limited to the interpretation, creation, performance, and enforcement thereof, shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without giving effect to its conflict of law principles.

b. Jurisdiction and Venue: You and Campus Quests LLC agree to submit to the personal and exclusive jurisdiction and venue of the state and federal courts located within the State of Colorado for any legal proceedings related to or arising out of the use of the Campus Quests services, these Terms, or any agreement entered into through our platform.

c. Compliance with State Laws: Campus Quests LLC operates under the regulatory framework established by Colorado law for online service platforms. This includes adhering to laws related to online commerce, consumer protection, data privacy, labor, and employment where applicable. Users of the platform, both Clients and Student Helpers, are also expected to comply with all relevant local, state, and federal laws in their use of Campus Quests services.

d. Employment and Labor Law Compliance: While Campus Quests LLC facilitates connections between Clients and Student Helpers, it does not function as an employer. As such, any employment or contractual relationships are directly between Clients and Student Helpers. Both parties are responsible for ensuring compliance with all applicable employment and labor laws in Colorado, including but not limited to wage and hour laws, worker classification, and workplace safety.

e. Resolution of Disputes: In the event of a dispute arising under or in connection with these Terms or the services provided by Campus Quests LLC, the parties shall first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved by negotiation, the parties agree to submit to binding arbitration in accordance with the rules and procedures of the American Arbitration Association, with such arbitration to take place in Colorado.

f. Limitations on Claims: Any cause of action or claim you may have with respect to Campus Quests LLC, the service, or the website must be commenced within one (1) year after the claim or cause of action arises, or such claim or cause of action is barred.

g. Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
